1. Agreement to Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Retarget IQ LLC (“Retarget IQ,” “we,” “our,” or “us”) governing your access to and use of our platform, products, and services (collectively, the “Services”).
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.
2. Description of Services
Retarget IQ provides a software platform that enables users to access, analyze, and utilize consumer and business data, including but not limited to:
- Audience identification and enrichment
- Intent data and behavioral insights
- Website visitor identification (pixel-based technologies)
- Data aggregation from third-party sources
- API access and integrations
The Services are intended for lawful business use only.
3. Eligibility
You must be at least 18 years old and have the legal capacity to enter into this agreement. If you are using the Services on behalf of a company, you represent that you have authority to bind that entity.
4. Account Registration & Security
You agree to:
- Provide accurate and complete information
- Maintain confidentiality of login credentials
- Be responsible for all activity under your account
Retarget IQ is not liable for any unauthorized access resulting from your failure to secure your account.
5. Subscription, Billing & Payments
- Services are offered on a subscription basis (monthly, quarterly, or annual)
- By subscribing, you authorize recurring charges to your payment method
- Fees are billed in advance and are non-refundable, unless explicitly stated
- Failure to pay may result in suspension or termination of access
We reserve the right to modify pricing at any time with reasonable notice.
6. Acceptable Use & Compliance Obligations
You agree to use the Services in compliance with all applicable laws, including but not limited to:
- CAN-SPAM Act
- GDPR (General Data Protection Regulation)
- CCPA/CPRA (California Privacy Laws)
- Any applicable data protection, marketing, or consumer privacy regulations
You agree NOT to:
- Use the Services for illegal, deceptive, or fraudulent purposes
- Violate privacy rights or misuse personal data
- Use data for discrimination or unlawful targeting
- Resell, sublicense, or redistribute data without authorization
- Attempt to reverse engineer or exploit the platform
7. Data Disclaimer & Responsibility
Retarget IQ aggregates data from various third-party and proprietary sources.
By using the Services, you acknowledge and agree that:
- Data may be incomplete, outdated, or inaccurate
- Retarget IQ does not guarantee the accuracy, completeness, or legality of any data
- You are solely responsible for how you interpret and use the data
- You are solely responsible for ensuring your use of the data complies with all applicable laws
👉 Critical Clause:
Retarget IQ does not determine how you use data — all usage decisions and compliance obligations rest entirely with you.
8. Pixel & Tracking Technology Disclaimer
Retarget IQ may provide tracking technologies (including pixels, scripts, or similar tools) that allow identification or enrichment of website visitors.
You acknowledge that:
- You are responsible for proper disclosure and consent on your website
- You must comply with all applicable tracking and cookie laws (e.g., GDPR, ePrivacy Directive)
- You assume full responsibility for how tracking technologies are deployed
Retarget IQ is not responsible for how you implement or disclose tracking technologies.
9. Intellectual Property
All software, content, and technology provided by Retarget IQ are owned by or licensed to Retarget IQ LLC and protected by intellectual property laws.
You are granted a limited, non-exclusive, non-transferable license to use the Services for internal business purposes only.
10. Third-Party Data & Services
The Services may rely on third-party data providers and integrations.
Retarget IQ:
- Does not control third-party data sources
- Is not responsible for their accuracy or compliance
- Makes no guarantees regarding third-party services
11. Disclaimer of Warranties
The Services are provided on an “as-is” and “as-available” basis.
Retarget IQ disclaims all warranties, including:
- Accuracy or reliability of data
- Fitness for a particular purpose
- Continuous or error-free operation
Use of the Services is at your own risk.
12. Limitation of Liability
To the fullest extent permitted by law:
- Retarget IQ LLC shall not be liable for any indirect, incidental, or consequential damages
- This includes loss of revenue, profits, data, or business opportunities
Maximum Liability Cap:
Retarget IQ’s total liability shall not exceed the amount you paid in the 12 months preceding the claim.
13. Indemnification
You agree to indemnify, defend, and hold harmless Retarget IQ LLC and its affiliates from any claims, damages, or liabilities arising from:
- Your use of the Services
- Your violation of these Terms
- Your misuse of data
- Your failure to comply with laws or regulations
14. Termination
We may suspend or terminate your access at any time if:
- You violate these Terms
- You misuse the platform
- You fail to make required payments
Upon termination, all rights to use the Services immediately cease.
15. Modifications to Services & Terms
We reserve the right to:
- Modify or discontinue Services at any time
- Update these Terms at any time
Continued use after changes constitutes acceptance.
16. Governing Law
These Terms are governed by the laws of the State of Nevada, without regard to conflict of law principles.
